Crane, President, Chief Executive Officer, Director Mr. Crane, who has more than 20 years of experience in the medical device industry, joined ElectroScope as President, Chief Executive Officer, and Director of the Company in May 1997. From 1992 to 1997, he served in a variety of positions, including Vice President of Research and Development, at Ohmeda Medical Systems, a division of BOC Group. Prior to that time, he served four years as Chairman, President, and Chief Executive Officer of Cybermedic, Inc. From 1983 to 1987, he served as Vice President of Valleylab, a division of Pfizer, Inc. From 1976 to 1983, he served in a variety of leadership positions in research and development and marketing at Physio-Control Corporation. Mr. Crane holds a bachelor of science degree in electrical engineering from the University of Detroit and a master of science degree in bioengineering from the University of Michigan. He received a master of business administration degree in finance and marketing from the University of Puget Sound and has also completed the Stanford Executive Program. David W. Newton, Vice President A co-founder of the company, Mr. Newton has served as Vice President and a Director of ElectroScope since its inception in 1991. From 1989 until 1991, he was President of Newton Associates, Inc., a contract engineering firm that he founded. From 1985 to 1989, he was President of Tienet, Inc., a developer of integrated computer systems. From 1983 to 1984, he served as Vice President of Engineering for Western Laboratories Corporation. From 1982 to 1983, he was President of Novamed, a start-up medical company engaged in the design of pulmonary testing instrumentation. From 1971 to 1981, he was involved in the design of electrosurgical generators and related accessories at Valleylab, where, at the time of his departure in 1981, he was Technical Director of Surgical Products. Mr. Newton holds nine patents in the field of medical electronic equipment and has published several articles in medical and technical journals. He holds a bachelor's degree in electrical engineering from the University of Colorado. Karl D. Hawkins, Chief Financial Officer and Vice President, Finance and Administration A California CPA, Mr. Hawkins joined ElectroScope in July 1997 as Chief Financial Officer and Vice President, Finance and Administration after serving as Chief Financial Officer at Blackfox Technology Group, a contract manufacturing company, for more than two years. Other companies at which he has managed finance, accounting, and administration include NCUBE, Engineered Circuit Research, Cimage Corporation, and Forthright Systems. Mr. Hawkins holds a bachelor of science degree from Florida Southern College and earned his master of business administration degree from the University of California at Berkeley. David G. Shipps, Director of Market Development Mr. Shipps has served as Director of Market Development for ElectroScope since August 1996. From 1988 until 1996, he served as Vice President, Marketing and Sales, for Medical Safety Products, a start-up company specializing in accidental needle stick prevention and blood transfer products. Concurrently, he was Principal of Dave Shipps & Associates, an executive recruiting and consulting firm specializing in marketing for the medical device industry. From 1987 until 1988, he served as Director of Marketing for Bard Electro Medical Systems, an electrosurgical instrument company. From 1978 until 1987, he worked at Valleylab in product management, marketing services, and market research, and he served as Valleylab's Director of Marketing from 1982 to 1987. From 1968 to 1978, he served as Product Manager for Pharmaseal, a medical products company. Mr. Shipps received a bachelor's degree in business administration from Transylvania University. James R. Cartwright, Director of Manufacturing Mr. Cartwright has served as Director of Manufacturing for ElectroScope since June 1995. From 1990 until 1995, he was Director of Technical Operations for Medex, Inc., a manufacturer and distributor of ambulatory and hospital infusion systems, where he was responsible for management of production, purchasing, shipping and receiving, manufacturing, engineering, and maintenance of equipment for the physical plant. From 1989 to 1990, he was Vice President of Manufacturing for Ivion Corporation. From 1977 to 1989, he was Director of Manufacturing, Infusion Systems for Valleylab, where he was responsible for production departments which built both electrosurgery and infusion product disposables. Mr. Cartwright received a bachelor's degree in industrial engineering from Wichita State University. Marcia McHaffie, Controller Ms. McHaffie has been ElectroScope's controller since June 1993. Her other responsibilities include human resources management, benefits administration, and management of corporate information systems. From 1990 to 1993, Ms. McHaffie served as controller for Beacon Laboratories, a medical device manufacturing company. She served as controller for Collins Manufacturing in Boulder, Colo. from 1986 to 1990. Board of Directors Roger C. Odell, Chairman of the Board A co-founder of ElectroScope, Mr. Odell served as Chief Executive Officer and President of the company for the first six years. He has been a Director of ElectroScope since its inception in 1991. From 1976 until 1991, he was employed at Valleylab, where he held increasingly senior clinical engineering positions. Mr. Odell was a member of the subcommittee of the Association for the Advancement of Medical Instrumentation that established the first U.S. standard for electrosurgical devices (1980-1986). He has published several chapters in medical textbooks and numerous articles in medical publications. In addition, he has lectured at grand rounds, postgraduate surgery workshops, and major medical conventions. Mr. Odell holds an associate of applied science degree in electrical engineering from Alfred State University. David C. Auth, Ph.D. Dr. Auth has served as a Director of ElectroScope since October 1996. He has been a consultant to Boston Scientific Corporation since 1995. In 1989, Dr. Auth founded Heart Technology, Inc., and served as its CEO until the firm was acquired by Boston Scientific Corp. in 1995. He was Director of Biophysics International from 1985 to 1989 and Director, New Product Ventures from 1982 to 1985 for Squibb Medical Products. From 1974 to 1982, Dr. Auth was Director of Bioengineering Research for Therapeutic Lasers for Endoscopy and Surgery at the University of Washington. Dr. Auth has conducted research and published numerous articles and book sections in a number of medical specialties including electrosurgery, minimally invasive surgery, and the use of lasers in surgery and photocoagulation. Dr. Auth holds 14 U.S. patents, many dealing with electrosurgery. He received his bachelor's degree in physics from The Catholic University of America, and his masters degree and doctorate in physics from Georgetown University. David W. Newton (see above) Donald R. Temple, M.D. Dr. Temple has served as a Director of ElectroScope since April 1993. He has served on the faculty of the University of Colorado School of Medicine since 1975 and currently has a joint appointment in the Department of Cellular and Structural Biology and the Department of Transplant Surgery. He completed a fellowship in 1975 in transplant surgery at the University of Colorado under the renowned Dr. Thomas Starzl. He has received numerous teaching awards, including the Kaiser Permanente award for teaching excellence in basic sciences, and has been elected to the Society of Clinical Anatomists. Dr. Temple received his medical degree from Wayne State University. Joseph W. Tippett, M.D. Dr. Tippett has served as a Director of ElectroScope since July 1991. He has been the President of Southeast Orthopedic Clinic, P.A., in San Antonio, Texas, since 1972 and is currently also President of the Arthroscopy Association of North America. He is President of Dale Energy Corporation and Chairman of D.O.C. Tunisia, both oil companies. Dr. Tippett received a bachelor's degree in zoology and his medical degree from the University of North Carolina at Chapel Hill. Robert D. Tucker, M.D., Ph.D. Dr. Tucker has served as a Director of ElectroScope since February 1991. Since 1983, Dr. Tucker has been an Associate Professor of Clinical Pathology at the University of Iowa Hospitals and Clinics. From 1978 to 1983 he was a Research Associate and Medical Fellow in the Department of Laboratory Medicine and Pathology at the University of Minnesota. He has conducted extensive research in radio frequency electrosurgery, received several federal grants to study the tissue effects of electrosurgery, and authored numerous scientific articles on this subject. Dr. Tucker has developed a national postgraduate continuing education course for the Society of Gastrointestinal Endoscopists on endoscopic electrosurgery and has given numerous national and international lectures and seminars on the subject. Dr. Tucker received a bachelor's degree in mathematics and physics from the University of Nebraska, a doctorate in biophysics from the University of Minnesota, and his medical degree from the University of Nebraska. C. Randle Voyles, M.D. Dr. Voyles has served as a Director of ElectroScope since July 1995. He has practiced surgery in Jackson, Miss., since 1981, and he is also Associate Clinical Professor of Surgery at the University of Mississippi School of Medicine. In 1980, he completed a one-year fellowship in liver and bile duct surgery at the Royal Postgraduate Medical School's Hammersmith Hospital in London. Dr. Voyles' numerous academic contributions include the practical aspects of laparoscopic surgery, electrosurgery, and management of complications.
